These User Agreement and Terms of Use (“Terms”) govern access to and use of Red Camel Commerce Tool (“Software”), which is owned and operated by Red Camel Marketplace (“Red Camel”, “we”, “us”, or “our”).
By creating a Red Camel Account, purchasing or receiving a subscription, downloading, installing, activating, connecting, accessing, or using the Software, you agree to be bound by these Terms.
If you do not agree to these Terms, you must not install, activate, access, or use the Software.
These Terms form a legal agreement between Red Camel Marketplace and the User.
For purposes of these Terms:
“Red Camel” means Red Camel Marketplace, the owner and licensor of Red Camel Commerce Tool, together with any authorised successor, assignee, operator, or entity authorised by Red Camel Marketplace to manage or provide the Software.
“Software” means Red Camel Commerce Tool, including the WordPress plugin, software components, updates, documentation, interfaces, supporting services, licensing systems, and other components made available by Red Camel as part of the product.
“User” means the individual or legal entity that creates a Red Camel Account, purchases or receives a subscription, installs, activates, connects, accesses, or uses the Software.
“You” and “your” refer to the User.
“User Account” means the Red Camel Account used by a User to access and manage the Software, subscriptions, installations, and related services.
“Storefront” means the website, online store, or other commercial website operated by the User using the Software.
“Installation” means a specific authorised installation of the Software on a particular website or WordPress environment.
An Installation may be associated with a particular domain, Storefront, subscription, entitlement, and User Account.
“Storefront Customer” means a person or organisation that visits, purchases from, communicates with, or otherwise interacts with a User’s Storefront.
A Storefront Customer is not, merely by interacting with a Storefront, a User of Red Camel Commerce Tool.
“Subscription” means the applicable paid or otherwise authorised period during which a User is permitted to use subscription-dependent features and services of the Software.
“Entitlement” means Red Camel’s authorisation for a particular User, Installation, Storefront, or other authorised use of the Software.
Red Camel Marketplace provides software and technology tools for businesses and individuals who wish to create and operate their own online commerce websites.
Red Camel Commerce Tool is a software product.
Red Camel is not, merely by providing the Software:
the seller of the User’s products;
the supplier of the User’s services;
the manufacturer of the User’s goods;
the User’s agent;
the User’s business partner;
a marketplace operator;
the User’s merchant of record;
the User’s payment processor;
the User’s delivery provider;
or a party to transactions between the User and its Storefront Customers.
The User independently operates its own business and Storefront.
Subject to these Terms and the User maintaining a valid Subscription or other valid Entitlement, Red Camel grants the User a limited, non-exclusive, non-transferable, non-sublicensable right to install and use the Software on authorised Installations.
You may install and use the Software on an authorised website while your Subscription or other valid Entitlement is active.
The licence granted under these Terms is a licence to use the Software and is not a sale or transfer of ownership of the Software.
The User does not acquire ownership of:
the Software;
the source code;
the underlying software architecture;
Red Camel’s licensing systems;
Red Camel’s server infrastructure;
Red Camel’s trademarks;
Red Camel branding;
Red Camel documentation;
or other Red Camel intellectual property.
A User Account may be associated with multiple independent Installations where supported by Red Camel.
Each Installation may represent a separate Storefront and may have its own:
domain;
Installation ID;
Subscription;
Entitlement;
payment history;
activation status;
software version;
and other installation-specific information.
The fact that multiple Installations can belong to one User Account does not make those Storefronts a single combined store.
Each Storefront remains an independent business website operated by the User.
Red Camel may establish different pricing, Subscription, Installation, or Entitlement requirements for multiple Installations.
Red Camel Commerce Tool is owned by Red Camel Marketplace, except for third-party software and materials that remain subject to their respective ownership and licence terms.
All rights not expressly granted to the User under these Terms are reserved by Red Camel and the applicable rights holders.
The User must not represent the Software or its underlying technology as the User’s own intellectual property.
The User must not remove copyright, ownership, trademark, licence, or other proprietary notices from the Software except where technically necessary or expressly permitted.
Red Camel’s name, logos, trademarks, product names, designs, and branding remain the property of their respective owners.
The User receives no ownership interest in Red Camel intellectual property merely by purchasing a Subscription or using the Software.
Except where a particular component is expressly distributed under a third-party licence that provides otherwise, the Software and its original code remain protected by applicable copyright and intellectual-property laws.
The User may not copy, reproduce, redistribute, resell, sublicense, publish, or commercially exploit the Software except as expressly permitted by these Terms or another applicable licence.
The User must not create or distribute a competing software product substantially based upon proprietary portions of the Software where such activity is prohibited by applicable law.
Third-party components included in or used by the Software remain subject to their applicable licences.
The User may use the Software to operate a lawful Storefront and conduct legitimate commercial activities.
The User must use the Software responsibly and in accordance with applicable law.
The User must not use the Software to facilitate, promote, distribute, or knowingly assist unlawful activity.
The User must not use the Software for activities including, but not limited to:
fraud;
theft;
trafficking in stolen property;
money laundering;
financing terrorism;
unlawful gambling;
unlawful financial schemes;
phishing;
identity theft;
impersonation;
malware distribution;
unauthorised computer access;
cybercrime;
unlawful surveillance;
distribution of pirated material;
copyright infringement;
trademark infringement;
sale of counterfeit goods;
unlawful drugs or controlled substances;
unlawful weapons or prohibited goods;
deceptive commercial practices;
sale of goods or services that the User is not legally permitted to sell;
or any other activity prohibited by applicable law.
Red Camel may restrict access where reasonably necessary to address unlawful use, fraud, security threats, or other serious violations of these Terms.
The User is solely responsible for ensuring that its business, Storefront, products, services, content, advertising, transactions, and business practices comply with all laws and regulations applicable to the User.
The User agrees to comply with the laws applicable to:
the User’s country;
state, province, territory, or local jurisdiction;
the location where the User operates;
the locations where products or services are supplied;
the locations where Storefront Customers are located;
the goods and services being offered;
online commerce;
taxation;
consumer protection;
privacy and data protection;
intellectual property;
product safety;
advertising;
payment services;
import and export;
licensing and permits;
age restrictions;
and regulated products or services.
If the User operates across multiple jurisdictions, the User is responsible for determining and complying with the laws applicable in each relevant jurisdiction.
By using Red Camel Commerce Tool, the User agrees that it will only sell, advertise, distribute, or provide goods and services that the User is legally permitted to sell, advertise, distribute, or provide.
Red Camel does not determine whether the User’s business or products are lawful and does not provide legal, tax, regulatory, accounting, or compliance advice.
The User is responsible for obtaining and maintaining all licences, registrations, permits, approvals, certifications, tax registrations, professional authorisations, or other permissions required for the User’s business or activities.
The availability of a particular feature in the Software does not mean that the User is legally authorised to use that feature for a particular product, service, industry, or transaction.
The User must independently determine what authorisations are required.
The User is solely responsible for everything offered through its Storefront.
This includes:
products;
services;
digital products;
subscriptions;
prices;
product descriptions;
photographs;
specifications;
claims;
warranties;
availability;
stock information;
delivery;
fulfilment;
refunds;
returns;
cancellations;
customer support;
taxes;
duties;
licences;
product safety;
and regulatory compliance.
Red Camel does not inspect, approve, certify, endorse, guarantee, or assume responsibility for the User’s products or services merely because they are offered through a Storefront using the Software.
The User acknowledges that Red Camel provides technology that the User may use to operate its own business.
The User independently determines:
what to sell;
who to sell to;
where to sell;
how to price products;
how to advertise;
how to fulfil orders;
how to handle refunds;
how to communicate with Storefront Customers;
and how to comply with applicable law.
The User’s use of the Software does not create a partnership, joint venture, agency, employment relationship, franchise, or other business relationship between Red Camel and the User.
The User is responsible for its relationship with its Storefront Customers.
The User is responsible for:
customer service;
order fulfilment;
delivery;
refunds;
returns;
cancellations;
warranties;
complaints;
product quality;
product safety;
advertising claims;
and other obligations arising from the User’s own business.
A Storefront Customer’s purchase from a User does not create a direct sales relationship between the Storefront Customer and Red Camel.
Red Camel is not the seller or supplier of the User’s goods or services merely because the Software was used to facilitate the Storefront.
Disputes between a User and a Storefront Customer concerning the User’s products, services, orders, payments, fulfilment, refunds, returns, warranties, representations, or business practices are primarily matters between the User and the Storefront Customer.
The User is responsible for resolving such disputes in accordance with applicable law.
Red Camel may provide technical assistance where appropriate, but technical assistance does not make Red Camel a party to the underlying transaction.
Nothing in these Terms removes a legal right or liability that cannot lawfully be excluded.
The User is responsible for all information, text, images, videos, documents, product information, files, advertisements, and other material uploaded or published through the Software (“User Content”).
The User represents that it has the necessary rights and permissions to use and distribute its User Content.
The User must not upload or distribute material that infringes another person’s copyright, trademark, privacy, publicity, or other legal rights.
Where the Software permits the sale or distribution of digital products, the User is solely responsible for ensuring that it owns or has sufficient rights to distribute those digital products.
The User must not use the Software to distribute:
pirated material;
stolen material;
unlawfully obtained files;
malicious software;
files containing unlawful content;
or content that the User has no legal right to distribute.
The User is responsible for complying with copyright, licensing, intellectual-property, consumer-protection, and other applicable laws relating to digital products.
The Software may integrate with third-party payment providers.
Such providers may include payment gateways, banks, financial technology companies, wallet providers, card networks, or other payment services.
Third-party payment services are subject to their own terms, policies, verification procedures, fees, restrictions, and regulatory requirements.
The User is responsible for maintaining its own payment-provider accounts and complying with the applicable requirements.
Red Camel does not guarantee that a payment provider will approve or continue to support a User’s account.
Red Camel does not control third-party payment-provider decisions, settlements, chargebacks, transaction reversals, account suspensions, or payment processing interruptions.
The User’s obligations concerning transactions with Storefront Customers remain the User’s responsibility.
The User must maintain appropriate procedures for handling refunds, returns, cancellations, failed transactions, chargebacks, and customer complaints.
Red Camel’s Subscription fees and payment arrangements are separate from transactions between the User and its Storefront Customers.
A dispute between a User and its Storefront Customer does not automatically entitle the User to a refund of its Red Camel Subscription.
Any refunds of Red Camel Subscription fees are governed by the applicable Red Camel refund policy.
Certain Software features and services require an active Subscription.
The Subscription period, price, renewal terms, applicable Installation limits, and included services will be presented to the User at the time of purchase or renewal.
Unless expressly stated otherwise, subscriptions do not automatically renew through stored payment credentials.
The User may be required to manually renew a Subscription.
Red Camel may offer different Subscription plans in the future.
Red Camel may maintain Subscription and Entitlement records associated with the User Account and individual Installations.
A User Account may have multiple Installations and multiple corresponding Entitlements.
Payment for one Installation does not automatically constitute payment for another Installation unless the applicable Subscription explicitly provides otherwise.
Red Camel may verify Subscription status periodically through its licensing infrastructure.
Where applicable, Red Camel may provide a grace period following Subscription expiration.
During the grace period, the Storefront may continue operating while the User is given an opportunity to renew.
After the applicable grace period, Red Camel may restrict subscription-dependent functionality.
Where the Software is designed to communicate periodically with Red Camel’s licensing infrastructure, temporary inability to contact Red Camel’s servers will not automatically be treated as Subscription expiration where the Software possesses a valid cached Entitlement.
Red Camel will make reasonable efforts to avoid unnecessary interruption caused solely by temporary server or connectivity problems.
The User is responsible for protecting:
Red Camel Account credentials;
WordPress administrator credentials;
hosting credentials;
payment-provider credentials;
API credentials;
and other credentials associated with the User’s Storefront.
The User must not knowingly permit unauthorised persons to access its account or Subscription.
The User must notify Red Camel if it reasonably believes that its Red Camel Account or licensing credentials have been compromised.
The User agrees to provide accurate and reasonably current information when registering a Red Camel Account.
This may include personal and business information reasonably required to establish, manage, support, secure, or administer the User Account and Software.
The User must not knowingly provide false or misleading information for the purpose of obtaining Software access, avoiding Subscription requirements, circumventing security measures, or misrepresenting its business.
Red Camel may request reasonable verification information where necessary for account security, fraud prevention, Subscription administration, legal compliance, or support.
The User remains responsible for the personal information it collects from its Storefront Customers.
The User must comply with applicable privacy and data-protection laws when collecting, storing, using, transmitting, or otherwise processing personal information.
The User should maintain an appropriate privacy notice for its Storefront and provide required disclosures to its Storefront Customers.
Red Camel’s own handling of personal information is governed by Red Camel’s Privacy Policy.
The User acknowledges that third-party services integrated with the Software may process information according to their own privacy policies and terms.
The Software may depend on or integrate with third-party services, including:
WordPress;
hosting providers;
domain registrars;
payment providers;
authentication providers;
APIs;
telecommunications networks;
email services;
storage providers;
analytics services;
and other third-party infrastructure.
Red Camel is not responsible for failures, outages, restrictions, policy changes, or discontinuation of third-party services outside Red Camel’s reasonable control.
Red Camel may release:
security updates;
bug fixes;
compatibility updates;
performance improvements;
new features;
changes to existing features;
and other Software updates.
The User acknowledges that updates may be necessary to maintain security, compatibility, legal compliance, or continued operation.
Red Camel does not guarantee that every historical feature will remain permanently unchanged.
The Software operates within or alongside third-party software and platforms.
The User is responsible for maintaining a compatible WordPress and hosting environment.
Third-party software remains subject to its own terms and licences.
Nothing in these Terms is intended to override rights granted to the User under an applicable third-party open-source licence.
The User is responsible for maintaining appropriate backups of its:
WordPress installation;
database;
products;
orders;
customer information;
uploaded files;
configuration;
and other business data.
The User should maintain a current backup before major Software updates, WordPress updates, hosting migrations, or other significant technical changes.
Unless expressly stated otherwise in a separate service agreement, Red Camel is not the User’s primary backup provider.
Red Camel will make reasonable efforts to maintain the Software and associated services.
However, uninterrupted availability cannot be guaranteed.
Temporary interruptions may occur because of:
maintenance;
updates;
security events;
hosting failures;
network failures;
third-party service failures;
infrastructure problems;
legal requirements;
cyberattacks;
or other circumstances beyond Red Camel’s reasonable control.
The User must not attempt to:
bypass Subscription controls;
circumvent authentication;
disable licensing mechanisms;
interfere with Red Camel’s servers;
reverse engineer security mechanisms for unauthorised purposes;
obtain another User’s credentials;
impersonate another User;
manipulate licensing or Entitlement records;
or interfere with the operation of the Software or Red Camel infrastructure.
Red Camel may investigate suspected abuse or security incidents and may take reasonable protective measures.
Red Camel may temporarily suspend or restrict an Installation or User Account where reasonably necessary because of:
expired Subscription;
non-payment;
suspected fraud;
unlawful activity;
material breach of these Terms;
security threats;
attempted circumvention of licensing;
abuse of Red Camel infrastructure;
infringement of intellectual-property rights;
or legal or regulatory requirements.
Where reasonably practicable, Red Camel may provide notice and an opportunity to resolve the issue.
Immediate restriction may be applied where continued access presents a significant security, legal, fraud, or other serious risk.
A User may stop using the Software at any time.
Red Camel may terminate a User’s licence where the User materially breaches these Terms and fails to remedy the breach within a reasonable period after notice, where remedy is possible.
Red Camel may terminate or restrict access immediately where reasonably necessary because of unlawful activity, serious security abuse, fraud, licensing circumvention, or a legal requirement.
Termination does not transfer ownership of the User’s business, products, data, or Storefront to Red Camel.
Following termination or expiration of a Subscription, the User must stop using subscription-dependent functionality of the Software.
Where technically possible and applicable, the User may retain its WordPress data and business records independently of the Software.
Termination does not automatically erase the User’s business records unless deletion is required by law, requested by the User in accordance with applicable policies, or otherwise expressly provided by the applicable service.
The User remains responsible for obligations that arose before termination.
Red Camel provides software technology.
Red Camel does not guarantee:
sales;
profits;
customers;
traffic;
search rankings;
advertising performance;
payment approval;
business growth;
regulatory approval;
uninterrupted operation;
or any particular commercial result.
The User is solely responsible for its business strategy and decisions.
The availability of Red Camel Commerce Tool does not mean that Red Camel has approved, endorsed, certified, inspected, or verified a User’s business, products, services, business model, advertising, or legal compliance.
The User must not represent that Red Camel has approved its products or business merely because the User uses the Software.
To the maximum extent permitted by applicable law, the User agrees to defend, indemnify, and hold harmless Red Camel Marketplace and its owners, officers, employees, contractors, representatives, and authorised service providers from third-party claims, liabilities, losses, damages, costs, and reasonable expenses arising from:
the User’s products or services;
the User’s Storefront;
the User’s business activities;
the User’s violation of applicable law;
the User’s violation of these Terms;
infringement of third-party rights by the User;
the User’s advertising or representations;
disputes between the User and its Storefront Customers;
the User’s failure to fulfil orders;
the User’s failure to provide lawful refunds or remedies where required; or
unlawful or unauthorised content supplied by the User.
This provision applies only to the extent permitted by applicable law and does not transfer liability that cannot lawfully be transferred.
To the maximum extent permitted by applicable law, Red Camel will not be liable for indirect, incidental, special, consequential, exemplary, or loss-of-profit damages arising from the User’s use of the Software.
Red Camel’s liability, where liability cannot lawfully be excluded, shall be determined in accordance with applicable law.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
Nothing in these Terms is intended to remove mandatory consumer rights or other protections that cannot lawfully be waived.
The User acknowledges that it is independently responsible for its own business.
Nothing in the Software or these Terms creates:
an agency relationship;
employment;
partnership;
joint venture;
franchise;
fiduciary relationship;
or merchant relationship
between Red Camel and the User.
The User must not represent otherwise to its Storefront Customers, suppliers, regulators, payment providers, or other third parties.
Red Camel Marketplace may transfer, assign, license, sell, or otherwise dispose of its ownership or management rights relating to Red Camel Commerce Tool.
Red Camel may appoint another company, individual, contractor, or organisation to operate, manage, maintain, support, develop, distribute, license, or otherwise administer the Software or any part of the Red Camel Commerce Tool service.
Any such transfer, assignment, sale, appointment, restructuring, or change of operator does not by itself terminate your Subscription, User Account, or valid Entitlement. Where reasonably necessary, Red Camel may notify Users of a material change to the entity responsible for providing the Software or related services.
The rights granted to you under this Agreement are personal to your User Account and Installation and may not be transferred, sublicensed, resold, or assigned by you to another person or entity without Red Camel’s prior written authorisation, except where expressly permitted by the applicable Subscription or service terms.
